Terms and Conditions
As required by applicable laws, SafeResearch cooperates with relevant regulatory and governmental authorities. Records of potentially suspicious transactions may be disclosed where legally required. All purchase orders are subject to the terms and conditions outlined below.
Uses
SAFE RESEARCH PRODUCTS ARE INTENDED FOR RESEARCH AND DEVELOPMENT PURPOSES ONLY. By placing an order, the Buyer represents and warrants that all products will be used strictly for laboratory research and not for any purpose that violates applicable laws or regulations.
Our products are NOT intended for use as pharmaceuticals, food additives, cosmetics, household chemicals, or any other non-research applications. Products must only be handled by qualified professionals operating within appropriate laboratory environments and familiar with potential risks.
Patents
SafeResearch does not warrant that the use of any product will not infringe upon existing patents in the United States or other jurisdictions. Inclusion of a product in our catalog does not grant a license or imply permission for use in violation of any patent rights.
SafeResearch reserves the right, at its sole discretion, to limit or refuse sales to any customer, regardless of order submission or acceptance.
Shipping and Delivery
Where possible, SafeResearch will ship orders according to the Buyer’s specified method. We primarily work with trusted carriers such as FedEx and DHL to ensure reliable delivery. Choosing alternative carriers may result in additional costs or delays.
SafeResearch may accommodate alternative shipping methods upon request; however, we reserve the right to select the most appropriate shipping method when necessary. Certain materials may require specialized packaging (e.g., barrier bags, secure containers), which may incur additional charges. Customers will be informed of such charges at the time of order processing.
SafeResearch shall not be held liable for delays or failures in delivery due to circumstances beyond reasonable control, including but not limited to natural disasters, transportation issues, labor disputes, governmental restrictions, or other unforeseen events.
SafeResearch reserves the right to decline shipment to private individuals or residential addresses where deemed inappropriate for research-use products.
Terms and Prices
All shipments are made FOB SafeResearch’s shipping facility. Applicable shipping and handling charges will be added to the invoice where relevant. Customers may request freight collect arrangements where applicable.
All prices are listed in USD and are subject to change without prior notice. In cases of significant price changes, SafeResearch will seek customer approval before processing the order.
Unless otherwise agreed, payment must be received in cleared funds prior to shipment. Where credit terms are approved, payment terms are Net 30 days from the invoice date.
Order Changes/Cancellations
No modification to terms or conditions by the Buyer shall be binding unless agreed in writing by an authorized representative of SafeResearch. Orders cannot be changed or canceled without prior written approval.
No additional agreements or representations shall apply unless explicitly stated in these terms.
Claims for Lost or Damaged Shipments
In the rare event that your order arrives damaged or is lost in transit, please contact us immediately. We will assist in filing a claim with the carrier and ensuring that the situation is resolved. Claims for lost or damaged shipments must be filed within [Insert Number of Days Placeholder] days of receiving the order.
Return and Refund
Certain items are non-returnable, including custom orders, damaged or opened materials, expired items, or products with missing or altered labels.
Returns may only be accepted for unopened items or in cases of verified quality issues supported by appropriate analytical data. All returns require prior authorization.
RETURN REQUESTS MUST BE SUBMITTED WITHIN 30 DAYS OF DELIVERY. Approved returns must be in original packaging and comply with all shipping regulations.
A restocking fee of up to 20% may apply. Shipping costs are non-refundable and may be charged for both outbound and return shipments.
Taxes and Customs Duty
The Buyer is responsible for all applicable taxes, duties, customs fees, and related charges unless valid exemption documentation is provided at the time of order.
If SafeResearch is required to pay such fees, the Buyer agrees to reimburse all applicable costs.
Limited Warranties
All information provided by SafeResearch is believed to be accurate but is not guaranteed. Products are supplied without any express or implied warranties, including but not limited to merchantability or fitness for a specific purpose.
All products are provided strictly for research purposes.
Limited Liability/Purchaser's Indemnity
Any claims must be submitted in writing within 30 days of receipt. Upon approval, SafeResearch may replace the product or issue a refund at its discretion.
SafeResearch’s liability shall not exceed the purchase price of the product in question. Under no circumstances shall SafeResearch be liable for indirect, incidental, or consequential damages.
The Buyer agrees to indemnify and hold SafeResearch harmless from any claims, damages, or liabilities arising from the handling or use of products.
Applicable Law
All transactions shall be governed by applicable laws within the United States. Any disputes shall be resolved within the appropriate jurisdiction as determined by SafeResearch.
The United Nations Convention on Contracts for the International Sale of Goods shall not apply.
Anti-Bribery Clause
The Buyer agrees to comply with all applicable anti-bribery and anti-corruption laws. Any violation may result in immediate termination of the order and potential legal consequences.
Material Safety Data Sheets
Each product is accompanied by relevant safety documentation where applicable. Buyers are responsible for reviewing all safety information prior to use. Safety information is provided without warranty.
Technical Service
SafeResearch may provide technical guidance upon request. Such information is offered without warranty, and the Buyer assumes full responsibility for its use.
Unless explicitly agreed, SafeResearch does not provide detailed manufacturing processes, formulation methods, or advanced analytical data beyond standard documentation such as Certificates of Analysis (CoA).
Hazards, Buyer’s Use
Products must be handled only by qualified professionals. Buyers acknowledge the risks associated with handling research chemicals and confirm compliance with all safety and regulatory requirements.
Toxic Substance Control Act (TSCA)
SafeResearch does not guarantee that all products are listed under TSCA. The Buyer is responsible for ensuring compliance with all applicable regulations.
Export Compliance
All products are subject to export control regulations. Buyers agree to comply with all applicable export laws and confirm that they are not restricted from purchasing such materials.
No Waiver; Remedies
Failure by SafeResearch to enforce any provision shall not constitute a waiver. All rights and remedies remain fully enforceable.
Force Majeure
SafeResearch shall not be liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, regulatory changes, supply chain disruptions, or labor issues.
